Seller & Listing Agreement

The terms sellers agree to when creating and managing listings.

This Seller and Listing Agreement (this "Agreement") is entered into between Evalyn LLC, doing business as Helix Equine IQ ("Helix," "we," "us," or "our"), a Wisconsin limited liability company, and the individual or entity ("Seller," "you," or "your") who creates, submits, or maintains one or more horse listings on the Helix Equine IQ platform (the "Platform").
By creating a listing on the Helix Equine IQ Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety, as well as by the following additional Helix policies, each of which is incorporated herein by reference:

For purposes of this Agreement, a "Seller" is any registered Helix Equine IQ account holder who creates, publishes, or maintains one or more horse listings on the Platform, whether on a free or paid subscription plan. Sellers may be private individuals, professional trainers, breeding operations, or legally organized business entities. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to this Agreement.
If you do not agree to the terms of this Agreement, do not create a listing on the Platform.

HELIX EQUINE IQ IS A LISTING PLATFORM ONLY. HELIX DOES NOT PROCESS PAYMENTS, TAKE COMMISSIONS, OR PARTICIPATE IN ANY HORSE SALE TRANSACTION. ALL FINANCIAL ARRANGEMENTS, NEGOTIATIONS, CONTRACTS, AND PAYMENTS ARE SOLELY BETWEEN BUYER AND SELLER.

1. INTRODUCTION & AGREEMENT OVERVIEW

1.1 Purpose. This Agreement governs the relationship between Helix and any individual or entity who lists horses for sale on the Helix Equine IQ Platform. It sets forth the standards, obligations, rights, and limitations applicable to all Sellers in connection with creating and maintaining listings on the Platform.

1.2 Scope. This Agreement applies to all listing activity on the Platform regardless of subscription plan (Free, Pro, or Elite) and regardless of whether a listing results in a completed sale. This Agreement supplements, and does not replace, the Helix Equine IQ Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, the Terms of Service shall govern unless expressly stated otherwise herein.

1.3 Acceptance. By submitting your first listing on the Platform, you enter into a binding legal agreement with Evalyn LLC, doing business as Helix Equine IQ. Your continued use of the listing features of the Platform constitutes your ongoing acceptance of this Agreement, as updated from time to time in accordance with Section 14.

1.4 Definitions. The following terms have the meanings set forth below:

  • "Agreement" means this Seller and Listing Agreement, as amended from time to time.
  • "Listing" means any horse listing submitted by a Seller and published (or pending publication) on the Platform.
  • "Platform" means the Helix Equine IQ website, mobile application, and all associated services operated by Evalyn LLC.
  • "Buyer" means any registered or unregistered user who views, inquires about, or makes an offer on a Listing.
  • "Transaction" means any negotiation, agreement, sale, or exchange of a horse between a Seller and a Buyer, which occurs entirely outside of and independently from the Platform.
  • "Listing Fee" means any fee paid by a Seller to Helix for access to listing services, as described in Section 5.
  • "Content" means all text, photographs, videos, documents, and other materials submitted by a Seller in connection with a Listing.

2. PLATFORM ROLE & LIMITATIONS

2.1 Listing Platform Only. Helix Equine IQ is an AI-based equine analytics and listing marketplace. Helix provides infrastructure for Sellers to display horses for sale and for Buyers to discover those listings. Helix is a listing platform only. Helix is not a party to, a broker of, an agent of, an auctioneer of, or a guarantor of any Transaction between a Seller and a Buyer.

2.2 No Payment Processing. Helix does not process, facilitate, hold, transfer, or escrow any funds on behalf of Sellers or Buyers in connection with horse sales. Helix does not accept, handle, or transmit sale proceeds, deposits, earnest money, wire transfers, or any other payment type relating to a horse Transaction. All financial arrangements in connection with a horse sale occur directly between the Seller and the Buyer, entirely outside the Platform.

2.3 No Commission. Helix does not collect any commission, percentage, or success fee based on the sale price of any horse. Listing Fees, as described in Section 5, are paid solely for access to Platform listing services and are completely independent of whether any sale occurs or at what price.

2.4 No Participation in Transactions. Helix does not negotiate on behalf of either party, draft or review sale agreements, participate in veterinary inspections, arrange or confirm transport, or facilitate any other aspect of a horse sale. All buyer-seller negotiations, contracts, payment arrangements, pre-purchase examinations, transport logistics, health certificate procurement, and registration transfers are solely the responsibility of the Seller and the Buyer.

2.5 No Liability for Transactions. Helix expressly disclaims all liability arising from or related to Transactions between Sellers and Buyers, including without limitation: fraud by either party, non-payment by Buyers, disputes over horse condition or health, shipping or transport losses, failed or incomplete sales, misrepresentation by Sellers, or any other outcome of any Transaction. Sellers and Buyers engage in all Transactions at their own risk.

2.6 No Endorsement. The display of a Listing on the Platform does not constitute an endorsement, verification, or guarantee by Helix of the accuracy of the Listing, the fitness of the horse, the reliability of the Seller, or the legality of any proposed Transaction.

3. SELLER ELIGIBILITY & VERIFICATION

3.1 Age and Legal Capacity. To create a Listing on the Platform, you must be: (a) at least eighteen (18) years of age; or (b) a legally organized and authorized business entity in good standing under the laws of its jurisdiction of organization. By creating a Listing, you represent and warrant that you meet one of the foregoing requirements.

3.2 Legal Authority to Sell. You represent and warrant that you have full legal right, title, authority, and ownership — or have been duly authorized by the owner — to list and offer for sale each horse you post on the Platform. You may not list a horse you do not own or for which you lack written authorization from the legal owner to facilitate a sale.

3.3 Verification Requirements. Helix reserves the right, at its sole discretion, to require identity verification, ownership verification, or any other documentation before any Listing is approved and made visible on the Platform. Specific verification requirements will be published in a separate Verification Policy, which may be updated from time to time. By agreeing to this Agreement, you acknowledge and accept that:

  • Helix may require verification before a Listing goes live;
  • Helix may request additional documentation at any time;
  • Failure to complete required verification within the timeframe specified by Helix may result in Listing suspension, rejection, or account termination; and
  • Completion of verification does not guarantee Listing approval or constitute an endorsement of you or your horse.

3.4 Account in Good Standing. You must maintain a valid, active Helix Equine IQ account in good standing at all times during which any of your Listings remain active on the Platform. "Good standing" means, among other things, that your account is not suspended, terminated, or under active investigation for a violation of this Agreement or the Terms of Service, and that all applicable Listing Fees are current and paid.

4. LISTING REQUIREMENTS & STANDARDS

4.1 Accuracy. All information included in a Listing must be truthful, accurate, complete, and not misleading at the time of posting and throughout the duration the Listing remains active. This includes, without limitation, the horse's name, age, breed, sex, color, registered name and number, health status, soundness status, training level, competition history, price, and any other material characteristic. Sellers are responsible for promptly correcting any information that becomes inaccurate after posting.

4.2 Photos and Videos. Media submitted with Listings is subject to the following requirements by plan:

Free: Photos Permitted: 1 photo per Listing; Videos Permitted: Not included

Pro: Photos Permitted: Multiple photos per Listing; Videos Permitted: Yes — included

Elite: Photos Permitted: Multiple photos per Listing; Videos Permitted: Yes — included

All media submitted must: (a) accurately and currently represent the listed horse; (b) not be digitally altered, filtered, or manipulated in a manner that misrepresents the horse's actual appearance, condition, or conformation; (c) depict only the horse or horses being listed; and (d) be owned by or licensed to the Seller. Helix reserves the right to remove any media that does not comply with these requirements.

4.3 Health Disclosures. Sellers must disclose all known significant health conditions, veterinary diagnoses, surgical history, chronic conditions, lameness history, behavioral issues, and soundness concerns in the Listing. Misrepresentation or material omission of a horse's health or soundness status constitutes a material breach of this Agreement and may result in immediate Listing removal, account termination, and potential reporting to relevant authorities. Sellers are strongly encouraged to make available any existing pre-purchase examination results, Coggins tests, and other relevant veterinary records to prospective Buyers upon request.

4.4 Pricing. The price displayed in a Listing must reflect the Seller's actual, good-faith asking price. Bait-and-switch pricing — the practice of advertising a misleadingly low price to attract Buyers only to demand a higher price upon contact — is strictly prohibited and constitutes a material breach of this Agreement. Nothing in this Agreement requires a Seller to accept any particular offer or to complete a sale at any price.

4.5 Registration and Pedigree. All registration numbers, Jockey Club or breed registry names, pedigree information, and breed certifications included in a Listing must be genuine, accurate, and verifiable through the relevant registry. Submission of forged, fabricated, altered, or counterfeit registration documents or pedigree information is a material breach of this Agreement, constitutes grounds for immediate and permanent account termination, and may be reported to appropriate law enforcement authorities and relevant breed registries.

4.6 Listing Updates and Removal of Sold Horses. Sellers are solely responsible for ensuring that all active Listings remain current and accurate. In particular: (a) Sellers must update a Listing promptly if any material information changes; and (b) Sellers must mark a horse as "Sold" or remove the Listing within forty-eight (48) hours of the completion of a sale. Failure to remove or update sold horse listings is a violation of this Agreement and may result in Listing suspension or other account action.

5. LISTING FEES & BILLING

5.1 Free Plan. Users on the Free Plan are entitled to one (1) active horse Listing at no charge, with a maximum of one (1) photo included per Listing. Additional Listings beyond the included free Listing are available at a fee of $20.00 USD per horse, for a thirty (30)-day active Listing period per horse.

5.2 Pro Plan. The Pro Plan is a recurring subscription that includes up to ten (10) active horse Listings per monthly billing cycle. Pro Plan Listings may include multiple photos and videos. The Pro Plan is subject to current subscription pricing as published on the Platform, which may be updated in accordance with Section 5.6.

5.3 Elite Plan. The Elite Plan is a recurring subscription that includes unlimited active horse Listings per monthly billing cycle. Elite Plan Listings may include multiple photos and videos. The Elite Plan is subject to current subscription pricing as published on the Platform, which may be updated in accordance with Section 5.6.

5.4 Nature of Listing Fees. Listing Fees are charged solely for access to the Platform's listing infrastructure and visibility services. Listing Fees are not commissions and are in no way tied to, contingent upon, or calculated by reference to whether a sale occurs, the sale price of any horse, or any outcome of a Transaction. Helix makes no representation or warranty that any Listing will result in a sale.

5.5 Non-Refundable Fees. Listing Fees are non-refundable once a Listing is approved, activated, and visible on the Platform, regardless of whether a sale occurs, the Listing is removed at the Seller's request, or the Listing period expires. Please refer to the Helix Equine IQ Refund and Cancellation Policy for full terms governing subscription cancellations and any applicable exceptions.

5.6 Fee Modifications. Helix reserves the right to modify Listing Fees, subscription pricing, plan inclusions, or billing terms at any time. Helix will provide not less than thirty (30) days' advance written notice to registered Sellers of any increase in Listing Fees or subscription rates, via email or Platform notification. Continued use of the Platform's listing services after the effective date of a fee change constitutes acceptance of the updated pricing.

6. PROHIBITED LISTINGS

The following types of Listings are strictly prohibited on the Helix Equine IQ Platform. Violation of any prohibition in this Section constitutes a material breach of this Agreement and may result in immediate Listing removal, account suspension or permanent termination, forfeiture of Listing Fees, and/or reporting to applicable law enforcement or regulatory authorities:

1. Stolen or Illegally Obtained Horses. Listing any horse obtained through theft, fraud, unauthorized removal, or any other illegal means is prohibited.

2. Misrepresented Health or Condition. Listing a horse with intentionally concealed, fabricated, or materially misrepresented health conditions, soundness status, veterinary history, or behavioral traits is prohibited.

3. Concealed Slaughter-Bound Listings. Listing a horse intended for slaughter under the guise of a performance sale, breeding sale, or any other category that misrepresents the intended purpose of the sale is prohibited.

4. Unauthorized Listings. Listing any horse for which the Seller does not hold legal title or valid written authorization from the legal owner to facilitate a sale is prohibited.

5. Horses Subject to Legal Holds or Ownership Disputes. Listing any horse that is subject to an active court order, legal hold, lien, bankruptcy proceeding, or ownership dispute without clear and prominent disclosure of that encumbrance in the Listing is prohibited.

6. Forged or Falsified Documentation. Submitting counterfeit registration papers, falsified pedigrees, fabricated veterinary records, or any other fraudulent documentation in connection with a Listing is prohibited.

7. Non-Horse Items and Animals. At this time, only horses may be listed on the Helix Equine IQ marketplace. Listings for other livestock, animals, tack, equipment, property, services, or any other non-horse item are prohibited.

8. Any Listing That Violates Applicable Law. Any Listing that facilitates, promotes, or is intended to result in a transaction that would violate any applicable local, state, federal, or international law is prohibited.

7. SELLER CONDUCT & RESPONSIBILITIES

7.1 Good-Faith Communications. Sellers must respond to legitimate Buyer inquiries in good faith and within a reasonable time. Sellers may not engage in misleading, deceptive, harassing, or abusive communications with Buyers or other Platform users. Sellers may decline any inquiry or offer without explanation but may not engage in discriminatory conduct in violation of applicable law.

7.2 Sole Responsibility for Transactions. Sellers are solely and exclusively responsible for all aspects of any Transaction, including without limitation:

  • Negotiating terms of sale directly with the Buyer;
  • Preparing and executing a legally sufficient bill of sale or purchase agreement;
  • Collecting payment from the Buyer through mutually agreed means entirely outside the Platform;
  • Obtaining any required health certificates, Coggins tests, or veterinary documentation;
  • Arranging and overseeing shipping, transport, and delivery of the horse; and
  • Completing all required registration transfers with the applicable breed registry.

Helix has no role in, responsibility for, or liability arising from any of the foregoing activities.

7.3 Legal Compliance. Sellers must comply with all applicable local, state, federal, and international laws and regulations governing the sale, transport, and transfer of horses, including but not limited to: animal welfare and anti-cruelty laws; veterinary health certificate requirements; state and federal brand inspection laws; import and export regulations (including USDA and CITES requirements, as applicable); applicable consumer protection laws; and any other law or regulation applicable to the Seller's jurisdiction or the jurisdiction of the Buyer.

7.4 No Payment Collection Through Platform. Sellers may not include payment links, payment portal references, bank account instructions, wire transfer routing information, cryptocurrency wallet addresses, or any other payment-collection mechanism within a Listing. All payment-related communications and arrangements must occur directly between the Seller and the Buyer outside the Platform. Including payment instructions in a Listing may result in Listing removal.

7.5 Accurate Contact Information. Sellers must maintain accurate and active contact information in their Helix Equine IQ account profile. Helix may use this information to send notices, verification requests, or compliance communications related to active Listings.

8. HELIX'S RIGHTS REGARDING LISTINGS

8.1 Review and Approval. Helix reserves the right, in its sole and absolute discretion, to review, approve, reject, modify, or decline to publish any Listing at any time and for any reason, including but not limited to compliance with this Agreement, the Terms of Service, the Community Guidelines, or any applicable law. Submission of a Listing does not guarantee publication on the Platform.

8.2 Removal of Non-Compliant Listings. Helix may remove, suspend, or deactivate any Listing that, in Helix's sole determination, violates this Agreement, the Terms of Service, the Community Guidelines, or any applicable law. Helix may do so without prior notice to the Seller and without obligation to provide a refund of any Listing Fees paid for the removed Listing.

8.3 Requests for Additional Information. Helix may, at any time and from time to time, contact the Seller to request additional information, documentation, clarification, or verification before a Listing is approved or permitted to remain active on the Platform. Failure to respond or comply within the timeframe specified by Helix may result in Listing suspension.

8.4 Account Suspension and Termination. Helix reserves the right to suspend or permanently terminate a Seller's account for: (a) repeated violations of this Agreement or the Terms of Service; (b) a single serious violation, including but not limited to submission of forged documentation, listing a stolen horse, or engaging in fraudulent conduct; (c) failure to complete required verification; or (d) any conduct that Helix, in its sole discretion, determines is harmful to the integrity of the Platform, other users, or the equine community. Upon account termination, all active Listings associated with the account may be removed immediately.

8.5 No Liability for Editorial Actions. Helix is not liable for any loss of business, loss of visibility, or any other damages resulting from Helix's exercise of its rights under this Section 8, including the rejection, modification, removal, or suspension of any Listing or account.

9. DISPUTE RESOLUTION BETWEEN BUYERS & SELLERS

9.1 Helix Not a Mediator or Arbitrator. Helix is not a mediator, arbitrator, dispute resolution service, or party to any Transaction between a Seller and a Buyer. Helix has no obligation to intervene in, adjudicate, or resolve any dispute arising between a Seller and a Buyer in connection with a Transaction or a Listing.

9.2 Limited Discretionary Assistance. Helix may, in its sole discretion and without any obligation to do so, assist in gathering Listing information, timestamps, or communications made through the Platform that may be relevant to a dispute between a Seller and a Buyer. Any such assistance does not constitute an assumption of liability or an admission of responsibility by Helix for the dispute or its outcome.

9.3 Direct Resolution Encouraged. Buyers and Sellers are encouraged to resolve disputes directly and in good faith. Helix recommends that Sellers use clear, written sale agreements, obtain pre-purchase examinations, and document all material representations made in connection with any Transaction.

9.4 Law Enforcement Cooperation. In cases involving suspected fraud, forgery of registration documents, listing of stolen horses, or other potential criminal conduct, Helix will cooperate with law enforcement authorities to the extent required by applicable law, including providing relevant Listing data and account information pursuant to valid legal process.

9.5 Platform-Level Disputes. For disputes between a Seller and Helix arising from the Platform itself (including Listing Fee disputes, account actions, or alleged breaches of this Agreement by Helix), please refer to Section 15 (Dispute Resolution) of the Helix Equine IQ Terms of Service, which governs such disputes and includes binding arbitration provisions.

10. INTELLECTUAL PROPERTY IN LISTINGS

10.1 License Granted to Helix. By submitting a Listing, you grant Evalyn LLC, doing business as Helix Equine IQ, a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, publish, and promote your Listing Content — including photographs, video, written descriptions, and other materials — on the Platform and in Helix's marketing and promotional materials (including social media, advertising, and partner channels), for so long as the Listing is active on the Platform, and for a reasonable period thereafter for purposes of archiving and promotion.

10.2 No Transfer of Ownership. Helix does not claim ownership of any Listing Content you submit. The license described in Section 10.1 does not transfer ownership of any intellectual property rights to Helix. You retain all ownership rights in your Listing Content, subject to the license granted herein.

10.3 Seller Representations Regarding Content. By submitting Listing Content, you represent and warrant that: (a) you own or have all necessary rights and licenses to the Content; (b) your submission and Helix's use of the Content pursuant to the license granted herein will not infringe any third-party intellectual property rights, privacy rights, or other proprietary rights; and (c) the Content does not violate any applicable law.

10.4 Takedown Requests. If you believe that Content appearing on the Platform infringes your intellectual property rights, please contact Helix at contact@helixequineiq.com with a description of the claimed infringement and the relevant Listing information.

11. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Evalyn LLC, doing business as Helix Equine IQ, and its members, managers, officers, directors, employees, contractors, agents, successors, and assigns (collectively, the "Helix Parties") from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

9. Your Listings, including any inaccuracy, misrepresentation, omission, or prohibited content therein;

10. Any Transaction you enter into with a Buyer, including disputes, fraud, non-payment, health misrepresentation, or failed delivery;

11. Your breach of any provision of this Agreement, the Terms of Service, the Community Guidelines, or any other Helix policy;

12. Your violation of any applicable law or regulation, including but not limited to animal welfare laws, veterinary regulations, or consumer protection laws;

13. Your infringement of any third-party intellectual property, privacy, or proprietary rights in connection with any Listing Content; or

14. Any claim by a third party arising from your conduct on or in connection with the Platform.

Helix reserves the right to assume exclusive control of the defense and settlement of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with Helix in the defense of any such claim.

12. LIMITATION OF LIABILITY

12.1 Cap on Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HELIX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT, THE PLATFORM, OR ANY LISTING SHALL NOT EXCEED THE TOTAL LISTING FEES ACTUALLY PAID BY YOU TO HELIX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.2 Exclusion of Consequential Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HELIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF HELIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 No Liability for Transaction Outcomes. Without limiting the foregoing, Helix expressly disclaims all liability for: (a) a Buyer's failure to pay for a horse; (b) disputes between Sellers and Buyers over horse condition, health, or pedigree; (c) loss, injury, or death of a horse during or after transport; (d) failed, incomplete, or rescinded sales; (e) fraud committed by Buyers or third parties; and (f) any other outcome of a Transaction.

12.4 Incorporation of Terms of Service. The limitations set forth in this Section 12 are in addition to, and not in limitation of, the limitation of liability provisions set forth in Section 12 of the Helix Equine IQ Terms of Service, which are incorporated herein by reference. In the event of any conflict, the more restrictive limitation applicable to Helix shall govern.

13. TERM & TERMINATION

13.1 Effective Date. This Agreement becomes effective upon the date you create your first Listing on the Platform and remains in full force and effect for the duration of your use of the Platform's listing services.

13.2 Termination by Seller. You may terminate this Agreement at any time by ceasing all listing activity and closing your Helix Equine IQ account in accordance with the account closure procedures set forth in the Terms of Service. Termination does not entitle you to a refund of any Listing Fees previously paid for active or recently expired Listings.

13.3 Termination by Helix. Helix may terminate this Agreement and your access to listing services immediately, with or without notice, for any material breach of this Agreement, repeated or serious violations of the Terms of Service or Community Guidelines, or any other conduct that Helix determines, in its sole discretion, warrants termination.

13.4 Effect of Termination on Active Listings. Upon termination of this Agreement for any reason: (a) all active Listings associated with your account will be deactivated and removed from public view on the Platform; (b) no new Listings may be submitted; and (c) any paid Listing Fees for active Listings that are removed as a result of termination are non-refundable, except as may be required by applicable law or as provided in the Refund and Cancellation Policy.

13.5 Survival. The following provisions shall survive the termination or expiration of this Agreement for any reason: Section 2 (Platform Role and Limitations), Section 10 (Intellectual Property in Listings), Section 11 (Indemnification), Section 12 (Limitation of Liability), Section 13.5 (Survival), Section 14, and Section 15, as well as any provision that by its nature is intended to survive termination.

14. MODIFICATIONS TO THIS AGREEMENT

14.1 Right to Modify. Helix reserves the right to update, amend, or replace this Agreement at any time in its sole discretion. Helix will provide not less than thirty (30) days' advance notice of material changes to this Agreement via email to the address associated with your Helix Equine IQ account and/or via a notice posted prominently on the Platform.

14.2 Acceptance of Changes. Your continued creation of new Listings or maintenance of active Listings on the Platform after the effective date of any modification to this Agreement constitutes your acceptance of the modified Agreement. If you do not agree to a modification, you must cease all listing activity and close your account before the modification takes effect.

14.3 Archived Versions. Helix will make prior versions of this Agreement available upon reasonable written request to contact@helixequineiq.com.

GOVERNING LAW & VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Any dispute not subject to binding arbitration under the Terms of Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Wisconsin, and each party hereby consents to personal jurisdiction in such courts.

Acknowledgment by Seller

By creating a Listing on the Helix Equine IQ Platform, you acknowledge that you have read, understood, and agree to be bound by this Seller and Listing Agreement in its entirety, including all referenced policies.

Note: For electronic acceptance, Seller's affirmative action in creating a Listing on the Platform constitutes a valid and binding electronic signature under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA), as adopted in the State of Wisconsin.
